| dc.description.abstract | Anonim şirket yönetim kurulu üyelerinin azline dair değerlendirmelerde, ilk olarak, o üyenin göreve hangi yöntemle geldiği dikkate alınmalıdır. Zira bir üyenin göreve gelme yöntemi, o üyenin azli sürecini de esaslı olarak etkileyebilmektedir. TTK m. 364 ile birlikte, azle ilişkin değerlendirmeler açısından ikinci bir belirleyici nokta daha ortaya çıkmıştır. Bu anlamda, azil kararının, gündemde yer alan azil veya ilgili bir maddeye dayanması ile dayanmaması halleri önem taşımaktadır. Gerçekten, bu iki ihtimal açısından, azle ilişkin değerlendirmeler önemli ölçüde farklılaşmaktadır. Bu açıdan TTK m. 364'te aslında iki farklı modele yer verildiği göz ardı edilmemelidir. Çalışmada, anonim şirket yönetim kurulu üyelerinin azli bütüncül biçimde ele alınmıştır. İlk bölümde azil kavramı yasal altyapı ve kuramsal temeller de esas alınarak ortaya konulmuştur. İkinci bölümde ise, genel kurulun azil kararı vermesine dair hususlar açıklanmıştır. Yine bu bölümde, Türk hukukunda mahkeme kararı ile azle olanak tanınmasının de lege ferenda isabetli olup olmayacağı da tartışılmıştır. Üçüncü bölüm ise, azlin hukuki sonuçlarını konu edinmekte; esas olarak, azledilen üyenin hukuki durumunu ele almaktadır. Çalışma esas olarak, pozitif hukuku incelemektedir. Ancak, özellikle karşılaştırmalı hukukta mevcut azle dair yaklaşım farklılıklarından yola çıkılarak, kanun koyucunun ve Yargıtay'ın tercihleri sık sık olması gereken hukuk bakımından da irdelenmiştir. | tr_TR |
| dc.description.ozet | The considerations regarding the dismissal of the board members in the joint stock company, primarily, the method by which that member took office should be taken into account. Because the method of a member's appointment may also affect the dismissal process of that member basally. In terms of evaluations regarding the dismissal of the board members, a second determining point has arisen with Article 364 of Turkish Commercial Code. In this sense, it is important whether the decision on dismissal of the board member is based on a dismissal article or a related item that stated in the general assembly agenda or not. Indeed, in terms of these two possibilities, evaluations of the dismissal differentiate significantly. In this respect, it should not be ignored that two different models are included in Article 364 of Turkish Commercial Code indeed. In the study, the dismissal of the board members in the joint stock company is handled holistically. In the first chapter of the study, the concept of dismissal has been put forward on the basis of legal infrastructure and theoretical foundations. In the second chapter, the matters regarding the dismissal decision of the general assembly are explained. Also in this section, it has also been discussed whether it would be appropriate de lege ferenda to allow dismissal by court decision in Turkish law. The third chapter deals with the legal consequences of dismissal; It mainly deals with the legal status of the dismissed member of the board. The study mainly examines positive law. On the other hand, especially on the basis of the differences in approach to dismissal of board members in comparative law, the preferences of the legislator and the Supreme Court have also been examined frequently in terms of the law that should be. | tr_TR |
