| dc.description.abstract | Bir kişi tarafından kurulabilen tek kişilik şirketler, ekonomik ihtiyaçların baş göstermesi sonucunda hukuk sistemleri tarafından kabul edilmiş ve günümüzde şirketler hukukunun önemli bir parçası haline gelmişlerdir. Çalışmada ilk olarak tek kişilik şirket kavramı tanıtılarak şirketler hukuku teorisindeki yeri incelenmiş ve çok ortaklı şirketlerden ayrılan özellikleri tetkik edilmiştir. Tek kişilik şirketler hukuk dünyasında uzun süre kabul edilmediğinden, müteakiben tek kişilik şirketlerin tarihi gelişimi ve kabul edilme süreci incelenmiştir. Söz konusu kabul edilme sürecini aydınlatmak amacıyla tek kişilik şirketlerin yasalaştırılmasının gerekçeleri, tercih edilmesinin nedenleri ve yarattığı riskler bu risklere karşı alınan önlemler ile beraber açıklanmıştır. Tek kişilik şirketlerin kabulü birçok Avrupa ülkesinde Tek Ortaklı Limited Şirketler Hakkında 12. Şirketler Hukuku Direktifi'nin kabulüyle gerçekleştiğinden söz konusu Direktif hükümleri de incelemeye tabi tutulmuştur. Bununla beraber söz konusu Direktif üye devlet hukuklarının uyumlaştırılması açısından yetersiz kaldığından Avrupa Komisyonu tarafından geri çekilen Societas Unius Personae (SUP) Direktif teklifi de sadece tartışmalı kısımlarıyla özet şekilde incelenmiştir. Müteakiben tek kişilik şirketlere ilişkin düzenlemeler söz konusu 12. Direktif'i iç hukuklarına aktaran Alman, İngiliz ve Türk hukuk sistemlerinde detaylı olarak tetkik edilmiştir. Due to the emergence of economic requirements single member companies, the foundation of which can be realized by one person, have been adopted by law systems and these structures today have become an important part of the company law. In this paper the concept of single member company, its place in company law theory and differences from the multi member companies have firstly been introduced. Then since the single member companies have hardly been recognized by the law systems, their adoption period have been examined. In order to enlighten the mentioned period of adoption, the reasons of the enactment and usage of single member companies have been examined together with the risks they are containing and the possible measures that can be taken against these risks. Due to the fact that the single member companies have been accepted in many European countries as a result of the introduction of the Twelfth Council Company Law Directive On Single-Member Private Limited Liability Companies, the provisions of the mentioned Directive have been analyzed. However, since the mentioned Directive has failed to harmonize the laws of the member states, the controversial parts of Societas Unius Personae (SUP) Directive Proposal has also been examined shortly, although the said Proposal has already been withdrawn by European Commission. Finally the provisions concerning the single member companies in German, English and Turkish law systems, the systems of which are implementing the Twelfth Company Law Directive, have been analyzed in detail. | tr_TR |
