Sözleşmenin değişen koşullara uyarlanması
Özet
Türk Borçlar Kanunu düzenlemesinde sözleşme, tarafların karşılıklı ve birbirine uygun irade beyanlarının açıklanmasıyla kurulmuş sayılır. Sözleşmenin kurulma anı ile ifa anı arasında geçen zamanda sözleşmenin kurulduğu anda taraflarca öngörülemeyen bir takım olayların gerçekleşmesi sözleşme edimleri arasındaki dengeyi bozabilir. Bu durumda taraflardan edimlerini yerine getirmeleri beklenemez. Böyle bir durumun gerçekleşmesi halinde ahde vefa ilkesinin bir istisnası olarak sözleşmenin uyarlanması gündeme gelmektedir. 6098 sayılı Türk Borçlar Kanununun 138. maddesi ile düzenlenmesinden önce TMK m. 2 dürüstlük kuralı uyarınca yargı içtihatları yolu ile uygulanan sözleşmenin uyarlanması kavramı, TBK düzenlemesi ile kanuni düzenlemeye kavuşmuştur. Çalışmamızda, sözleşmenin uyarlanması kavramının tanımı, benzer kavramlardan farklılıkları, TBK ile getirilen düzenleme uyarınca sözleşmenin hangi koşulların gerçekleşmesi halinde uyarlanabileceği, hâkimin sözleşmeyi uyarlarken gözetmesi gereken hususlar incelenmeye çalışılmıştır.
According to TCC, a contract is considered as concluded in case both parties mutually declare their concurring assents. A number of case which were not able to foreseen by the parties at the date of contract, occurs between the date of contract and time of performance may be able to upset the balance between the acts. In that case the execution of the contract by the parties is not expected. In case of this kind of situation occurs the adaptation of contract comes up as an exception of pacta sund servanda. The adaptation of contract term was implemented via case law as per article 2 of Turkish Civil Code before the regulation by the TCC Art. 138. The term gained its own legal basis by the TCC Art. 138 entering into force. In this study we will examine the definiton of the adaptation of contract term, the differences between the similar concepts, the necessary conditions for implementation of the adaptation of contracts according to TCC, the conditions which must be regarded during the adaptation of contracts by the judge.
