Eser sözleşmesinde yüklenicinin borcunu ifa etmemesi
Abstract
Yüklenicinin bir eser meydana getirerek teslim etmeyi, iş sahibinin de buna karşılık bir bedel ödemeyi üstlendiği eser sözleşmesi, 6098 sayılı Türk Borçlar Kanunu'nun 470.-486. maddelerinde düzenlenmiş olup, gerek gündelik ilişkilerde, gerekse inşaat işlerinde sıkça uygulama alanı bulmaktadır. Kanun koyucu, 6098 sayılı Kanunu hazırlarken; ne genel hükümler, ne de eser sözleşmesini düzenleyen özel hükümlerde yeknesak bir borca aykırılık yaklaşımını benimsememiş, eski Kanun'un tasnifi aynen korunmuştur. Buna göre eser sözleşmesinde yüklenicinin temerrüdü, borcu ifasının imkansızlığı ve nihayet ayıplı ifası birbirinden ayrı çözümlere tâbi tutulmuştur. Yeni Alman Borçlar Kanunu ve CISG, PECL, PICC ve DCFR gibi uluslararası metinlerce benimsenen "Borcun ifa edilmemesi" kavramı, bütün borca aykırılık hallerini kapsamakta ve yalnızca aykırılığın "esaslı" olup olmadığı dikkate alınmaktadır. Bu yaklaşım, pratik gereklere daha uygun olup; Kanun'un genel hükümleri çerçevesinde düzenlenmeli ve eser sözleşmesi açısından da bu hükümlere atıf yapılmak suretiyle benimsenmelidir.AbstractContracts for services, where the contractor undertakes the duty to produce and deliver a product and the employer undertakes the duty to make a payment in return, have been covered by the Turkish Code of Obligations no. 6098, Articles 470 to 486, and they hold importance within daily transactions as well as in construction works. Lawmakers, while preparing the Code no. 6098, have not adopted a uniform contractual breach system neither in the general provisions of the Code nor in the special provisions prepared for the contracts for services, and they have preserved the system that was adopted by the previous Code of Obligations. Therefore, different solutions are utilized whenever the contractor of a contract for services defaults on their obligation, fulfillment of their obligation becomes impossible or when the delivered product does not meet the contractual standards and obligations. The "non-performance" apporach that has been adopted by the new German Code of Obligations and international instruments like CISG, PECL, PICC and DCFR; encompasses all sorts of contractual breach types and only takes whether the breach is "fundamental" or not into consideration. This approach is more suitable for practical needs and should be accepted by the General Provisions of the Code and by referencing those, should be adopted by the special provisions of the Code regarding contracts for services.
